LHC 517 Law of Business Organizations

  Course Prerequisites: No credit in LHC 516 
  Advisory Prerequisites: No JD students 
  Law of Business Organizations - This course provides an introduction to the legal framework in which managers operate a business. The course will be useful to all MBA students whether contemplating entrepreneurship, or careers in an existing business organization. Students on the Entrepreneurship Track and those planning careers in Corporate Finance should find the course particularly relevant. Concerns of both privately held and publicly traded firms are addressed. This course examines various business relationships and organizations including:

• Agency relationships
• Partnerships
• Limited liability companies
• Corporations
• Duties of senior management
• Rights of shareholders
• Rights and duties in the context of transactions for corporate control
• Insider trading

Because the course focuses on the legal environment in which management decisions are made, legal cases are used in class discussion. The requirements for this course include preparation for class through the reading assignments, participation in classroom discussions, completion of a problem set and final exam.

This course fulfills the MBA law/ethics requirement
Credit is granted for LHC517 or LHC516 or LHC 506
Students who have successfully completed LHC 506 or LHC 516 may not receive credit for LHC 517.
